Terms & Conditions

These Terms & Conditions ("Terms") form a binding agreement between you and GLI Consults ("GLI Consults", "we", "us", or "our") governing your access to and use of STRATOSCAN, including the diagnostic, portal, reports, and any related services (together, the "Service"). By creating an account, completing a scan, or otherwise using the Service, you confirm that you have read, understood, and agreed to these Terms and to our Privacy Policy.

1. About STRATOSCAN

STRATOSCAN is a strategy diagnostic built on the Business Model Engine (BME) framework. It produces a scored diagnostic, a BME canvas, and a narrative report designed to help founders and operators identify their most binding constraint and plan next steps. Access to the core diagnostic is currently offered free of charge; we may introduce paid features in the future and will make any pricing clear before you incur a charge.

2. Eligibility

You must be at least 18 years old and legally able to enter into a contract to use the Service. If you are using STRATOSCAN on behalf of a business or organisation, you represent that you are authorised to bind that entity to these Terms.

3. Not professional advice

Your report is a decision-support tool and does not constitute investment, legal, tax, financial, accounting, or other professional advice. You are solely responsible for decisions you make on the basis of it and should seek qualified professional advice before acting on any material recommendation.

4. Your account

Completing a diagnostic creates a private portal in your name. You are responsible for keeping your sign-in credentials confidential and for all activity under your account. You must notify us promptly at security@gliconsults.com if you suspect any unauthorised access. You may delete your account and detach your identity from your scans at any time from Account & data in your portal.

5. Acceptable use

You agree not to:

• reverse-engineer, decompile, scrape, or attempt to derive the source code, scoring logic, question bank, or underlying models of the Service;
• use STRATOSCAN, its outputs, or the BME framework to build, train, or improve a competing product or diagnostic;
• resell, sublicense, or provide the Service to third parties as a paid or unpaid offering;
• submit answers on behalf of a business without proper authorisation;
• upload unlawful, infringing, malicious, or misleading content, or interfere with the security or integrity of the Service;
• use the Service to violate any applicable law, including data-protection, export-control, or anti-corruption laws.

6. Intellectual property

The Service, including the BME framework, question bank, scoring methodology, templates, report structure, canvases, branding, and all related content, is owned by GLI Consults and its licensors and is protected by intellectual-property laws. You retain ownership of the business information and answers you submit ("Your Content"). You grant GLI Consults a worldwide, royalty-free licence to host, process, and analyse Your Content solely to operate and improve the Service and to deliver the features described in these Terms and in our Privacy Policy.

Subject to your continued compliance with these Terms, GLI Consults grants you a limited, non-exclusive, non-transferable, revocable licence to use your report and canvas for your own internal business purposes.

7. Data sharing with partners

If you arrive through a partner link or complete a scan associated with a partner programme, your identified diagnosis may be shared with that partner so they can offer you funding, cohorts, or support. Anonymised, aggregated benchmarks may be shared with our wider partner and research network. You can review and change these preferences at any time from your portal. Our handling of personal data is described in the Privacy Policy.

8. Third-party services

The Service relies on third-party providers (for example, cloud hosting, authentication, email delivery, and analytics). Their availability and performance are outside our direct control, and their own terms and privacy notices may apply to certain interactions.

9. Availability and changes

We work to keep STRATOSCAN available but do not warrant uninterrupted, error-free, or secure operation. We may add, change, suspend, or remove features at any time. Where changes materially reduce functionality you rely on, we will make reasonable efforts to notify you in advance.

10. Suspension and termination

We may suspend or terminate your access to the Service if you breach these Terms, if required by law, or to protect the security or integrity of the Service or its users. You may stop using the Service and delete your account at any time. Sections that by their nature should survive termination (including intellectual-property, disclaimers, liability, and governing law) will continue to apply.

11. Disclaimers

The Service and all reports, scores, canvases, and recommendations are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that any outcomes will result from acting on your report.

12. Limitation of liability

To the maximum extent permitted by law, GLI Consults and its officers, employees, contractors, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of the Service. Our total aggregate liability for any claim arising out of or relating to the Service is limited to the greater of (a) the amounts you have paid us for the Service in the twelve months preceding the event giving rise to the claim, or (b) NGN 50,000. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

13. Indemnity

You agree to indemnify and hold GLI Consults harmless from any claim, loss, or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right.

14. Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to its conflict-of-laws rules. The courts of Lagos, Nigeria have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any competent court to protect its intellectual-property rights.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the "Effective date" above and, for material changes, notify you by email or through the portal. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
